Inputly End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal contract between you ("User," "You") and Inputly (operating under Inputly.ca) ("Company," "We," "Our") regarding your use of the Inputly software and related services (the "Software").

By installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on your personal devices, subject to the terms of this Agreement.

2. Restrictions

You may not:

Use the Software for any unlawful, harmful, or deceptive purposes.

Use the Software to bypass, interfere with, or evade academic integrity policies, workplace rules, or third-party detection/monitoring tools.

Modify, reverse engineer, decompile, or attempt to extract source code from the Software.

Sell, rent, lease, sublicense, or redistribute the Software without prior written consent from the Company.

Share license keys, access tokens, or credentials with others.

Attempt to disable, circumvent, or exploit security or licensing mechanisms.

3. User Responsibility

You are solely responsible for how you use the Software. This includes:

Ensuring your use complies with all applicable local, national, and international laws, regulations, and institutional or organizational policies.

Any consequences resulting from misuse, including but not limited to academic, employment, contractual, or legal penalties.

Securing your account, devices, and access credentials.

The Company disclaims all responsibility for any misuse or resulting damages, penalties, or liabilities caused by the User.

4. Unauthorized Copies

This Agreement applies only to legitimate copies of the Software obtained directly from Inputly.ca or its authorized distributors.

Copies obtained from any other source are unauthorized and unlicensed. The Company disclaims any and all liability arising from the use of unauthorized copies, and any individual using such copies assumes all associated risks and responsibilities.

Any redistribution of the Software without prior written consent from the Company is strictly prohibited and constitutes a violation of this Agreement.

5. Ownership

The Software is licensed, not sold. All rights, title, and interest in the Software, including intellectual property rights, remain with the Company.

6. Updates & Availability

We may provide updates, modifications, or patches to the Software at our discretion. We are under no obligation to maintain or support the Software, and availability may be interrupted, limited, or discontinued without notice.

7. Termination

This Agreement is effective until terminated. We reserve the right to terminate your license immediately if you:

Violate this Agreement,

Misuse the Software,

Attempt to resell, redistribute, or exploit the Software.

Upon termination, you must uninstall and cease all use of the Software.

8. Disclaimer of Warranties

The Software is provided "as-is" and "as-available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Software will be error-free, secure, uninterrupted, or that it will meet your specific requirements.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any damages (direct, indirect, incidental, consequential, or punitive), including but not limited to:

Loss of data,

Business interruption,

Academic or disciplinary consequences,

Reputational harm,

Misuse or inability to use the Software.

Your exclusive remedy for dissatisfaction with the Software is to stop using it.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or in any way connected to:

Your misuse of the Software,

Your violation of this Agreement,

Your violation of applicable laws or policies.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes shall be resolved in the courts of Canada.

12. Changes to Agreement

We reserve the right to update or modify this Agreement at any time. Continued use of the Software after changes constitutes your acceptance of the revised terms.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes any prior agreements or understandings.
