Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Inputly website, desktop applications, and related services (the “Services”). By using the Services, you agree to these Terms.

For the software license that governs the desktop app itself, please see our EULA. These Terms cover your account, billing, website use, and support.

1) Accounts

  • You must provide accurate account information and keep your credentials secure.
  • You are responsible for all activity under your account.
  • We may suspend or terminate accounts for violations of these Terms, the EULA, or applicable law.

2) Plans, billing, and renewals

  • Free plan: limited features and daily usage quotas.
  • Pro/Teams plans: paid subscriptions billed in advance (monthly or semi-annual/annual if offered).
  • Subscriptions auto-renew until cancelled. You can cancel anytime; access remains until the end of the current period.
  • We may change prices with reasonable notice before your next renewal.

3) Trials, refunds, and chargebacks

  • New Pro subscriptions may include a free trial (see pricing page). If you don’t cancel before the trial ends, your paid period begins automatically.
  • Refunds: We generally do not offer refunds once a billing period starts. If something isn’t working for you, contact support@inputly.ca and we’ll make it right where we reasonably can.
  • Chargebacks may result in immediate suspension and loss of access.

4) Acceptable use

You agree not to misuse the Services. For example, you will not:

  • Violate laws, regulations, or third-party rights.
  • Use Inputly to evade academic integrity policies, workplace rules, or anti-fraud/detection systems.
  • Attempt to bypass license checks, API protections, or security controls.
  • Reverse engineer or resell the Services except as allowed in the EULA or a written agreement with us.

5) Ownership

Inputly and its logos, software, and documentation are owned by us or our licensors. These Terms don’t grant you ownership. You receive only the rights described here and in the EULA.

6) Service changes

We may modify or discontinue features at any time. We aim to provide reasonable notice for material changes that affect paid plans.

7) Third-party services

We use third-party providers (e.g., Stripe, Firebase). Your use of those services may be subject to their terms. We aren’t responsible for third-party failures beyond our control.

8) Disclaimers

The Services are provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law.

9) Limitation of liability

To the maximum extent permitted by law, we won’t be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amounts paid by you to us for the 12 months prior to the claim (or $50 if you’re on the free plan).

10) Indemnity

You agree to indemnify and hold Inputly and its officers, directors, employees, and contractors harmless from claims arising from your misuse of the Services or violation of these Terms or the EULA.

11) Governing law & venue

These Terms are governed by the laws of Canada. You agree to the jurisdiction of the courts located in Canada for resolving any dispute.

12) Changes to Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you (for example by email or a banner). Your continued use after changes means you accept the updated Terms.
